These Terms & Conditions ("Terms") govern your access to and use of the websites, products, and services provided by Numeraxia Technologies Pte. Ltd.("Numeraxia", "we", "us"). By accessing https://www.numeraxia.com or using our AI Workforce Platform, you agree to these Terms.

1. Services

Numeraxia provides an AI Workforce Platform that includes Smart Website (AI-powered sales and customer engagement) and AI CFO (financial intelligence and reporting) as modular product offerings. Each product may have additional terms presented at subscription or onboarding. Product access is provided on a subscription basis unless otherwise agreed in writing.

2. Account & eligibility

You must be at least 18 years old and have the authority to bind your organisation when registering for our services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Acceptable use

You agree not to:

• Use our platform for unlawful purposes or in violation of applicable laws
• Attempt to gain unauthorised access to our systems or other users' data
• Interfere with or disrupt the integrity or performance of our services
• Use our AI services to generate harmful, fraudulent, or misleading content
• Reverse engineer, copy, or resell our platform without written consent

4. Intellectual property

All content, software, trademarks, and technology on our platform remain the property of Numeraxia Technologies Pte. Ltd. or its licensors. You retain ownership of data you input into our platform. You grant us a limited licence to process your data solely to provide our services.

5. Payment & subscriptions

Paid subscriptions are billed according to the pricing plan selected at the time of purchase. Fees are non-refundable except as required by law or as stated in your subscription agreement. We may change pricing with reasonable notice to existing subscribers.

6. Disclaimer of warranties

Our services are provided "as is" and "as available". While we strive for high availability and accuracy, we do not guarantee that AI-generated outputs will be error-free or suitable for every business decision. You are responsible for reviewing AI outputs before acting on them, particularly for financial and legal matters.

7. Limitation of liability

To the maximum extent permitted by Singapore law, Numeraxia Technologies Pte. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

8. Termination

We may suspend or terminate your access if you violate these Terms. You may cancel your subscription at any time through your account settings or by contacting us. Upon termination, your right to use the platform ceases, subject to any data export provisions in your subscription agreement.

9. Governing law

These Terms are governed by the laws of the Republic of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
